Master Service Agreement (MSA)
AGREEMENTS
Service Agreement will begin on the date of the authorized Service Agreement and will remain in full force and effect until the end date specified in the signed agreement. The Term of the signed agreement may be extended with the written consent of the Parties.
CANCELLATION
If either Party wishes to terminate this agreement after service has commenced that the cancelling party will be required to provide 30 days written notice to the other Party.
CONFIDENTIALITY
Titan Security agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which Titan has obtained, except as authorized by the Client Staff Members or as required by law. The obligations of confidentiality will apply during the term of the Agreement and will indefinitely upon termination of the Agreement.
All written and oral information and material disclosed or provided by the Client to Titan Security under this Agreement is Confidential Information regardless of whether it was provided before or after the date of this Agreement or how it was provided to Titan Security.
FORCE MAJEURE
Titan Security shall not be liable for any failure of performance attributable to acts, events or causes (including, but not limited to, war, riot, rebellion, civil disturbances, strikes, power failures, failure of telephone lines and equipment, flood, storm, fire and earthquake or other acts of God or conditions or events of nature, or any law, order, proclamation, regulation, ordinance, demand or requirement of any Governmental Authority) beyond its control that prevent in whole or in part performance hereunder. The affected provisions and/or other requirements of this Agreement may be suspended during the period of such disability and Titan Security shall not have any liability to Client in connection therewith. Titan Security shall make all reasonable efforts to remove such disability as soon as and to the extent reasonably possible and to assist Client in finding third parties to provide affected Services during the period of such disability.
INSURANCE
Titan Security holds a liability insurance covering itself and its employees performing services pursuant to this Agreement in the minimum amounts of Five Million Dollars ($5,000,000) per occurrence. Titan also holds workers’ compensation insurance for its employees.
MODIFICATION OF AGREEMENT
Any amendment or modification of a signed Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced in writing signed by each Party or an authorized representative of each Party.
